How small SaaS businesses are valued
Small software businesses are usually priced as a multiple of either annual revenue (ARR) or annual profit. Under roughly $1M in revenue, buyers and brokers lean on profit, usually seller's discretionary earnings (SDE): profit plus whatever the owner pays themselves. Brokers commonly quote 3–5× SDE for healthy small online businesses; venture-scale SaaS is a different market priced on revenue growth.
What moves the multiple: growth (a growing product sells for more than a flat one), churn, how much of the revenue depends on the founder, the acquisition channel (SEO and word of mouth are worth more than paid ads), and how clean the books and code are. A product making $5K MRR with 2% churn and steady organic growth can sell for twice as much as one making the same with 10% churn.
